Welcome to Frojus. The terms “we”, “us” and “our” refer to Frojus, a brand owned and operated by Waterman Corporate Enterprises Limited (registered in England and Wales, Company No. 08137393). Frojus operates this website and store, including all related information, content, features, tools, products and services (the “Services”). Our store is powered by Shopify.

These Terms of Service (“Terms”), together with the policies referenced in them, explain your rights and responsibilities when using the Services. By visiting, interacting with or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use or access the Services.

1. Access and Account

You confirm that you are at least the age of majority in your country of residence and that you consent to any minor dependants using the Services under your supervision. You agree to provide accurate, current and complete information when creating an account or making a purchase and to keep your details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must not transfer, sell, assign or license your account to any other person.

2. Our Products

We aim to describe and photograph products accurately, but colours and appearance may vary because of device displays and lighting. We do not warrant that any product will meet your expectations or exactly match images online.

Product descriptions, pricing and availability may change without notice. We may discontinue products and limit quantities by customer or region at our discretion.

3. Orders

When you place an order you make an offer to purchase. We may accept or decline any order at our discretion. An order is accepted only when payment is processed and we send an order confirmation. If we do not accept, amend or cancel an order, we will attempt to notify you using the details you provided at checkout.

Purchases are subject to our Returns and Refunds Policy. You warrant that purchases are for personal or household use and not for resale or export.

4. Prices and Billing

Prices, discounts and promotions may change without notice. The price charged is the price in effect at the time of order and appears in your confirmation email. Unless stated otherwise, prices exclude taxes, shipping, handling and any customs or import charges.

You agree to provide valid payment details and authorise us to charge the total amount due, including applicable taxes and shipping. You confirm that you are authorised to use the payment method provided and that charges will be honoured by your card issuer or payment provider.

5. Shipping and Delivery

Delivery times are estimates and not guaranteed. We are not liable for delays caused by carriers, customs or events beyond our control. Title and risk in the goods pass to you when we hand your order to the carrier.

The Services and all content on them, including trademarks, logos, text, graphics, images, audio, video and their arrangement, are owned by Frojus, our affiliates or licensors and are protected by applicable intellectual property laws.

You may use the Services for personal, non-commercial purposes only. You must not copy, distribute, modify, create derivative works from, publicly display or perform, republish, download, store or transmit any material without our prior written consent. All rights not expressly granted are reserved.

“Frojus” names, logos, product and service names, designs and slogans are trademarks of Frojus or our licensors. Shopify names and logos are trademarks of Shopify. Other names and logos are the property of their respective owners.

7. Optional Tools

We may provide access to third-party tools on an “as is” and “as available” basis without warranties or endorsement. Your use of such tools is at your own risk and subject to the third party’s terms.

8. Third-Party Links

The Services may contain links to third-party websites or materials. We are not responsible for their content, policies or practices. Your dealings with third parties are solely between you and the third party.

9. Relationship with Shopify

Our store is powered by Shopify. All sales are made directly between you and Frojus. Shopify is not responsible for your purchases from Frojus. By using the Services you release Shopify and its affiliates from claims and liabilities arising from your transactions with Frojus.

10. Privacy

Personal information collected through the Services is handled in accordance with our Privacy Policy. Because the Services are hosted by Shopify, certain data is processed by Shopify as described in Shopify’s Privacy Policy.

11. Feedback and Reviews

If you submit reviews, ideas or other content (“Feedback”) you grant Frojus a perpetual, worldwide, royalty-free licence to use, reproduce, modify, publish and display that Feedback in any media. You warrant you own or control the rights in your Feedback and that it does not infringe third-party rights or breach any law.

12. Errors and Omissions

From time to time the Services may contain typographical errors or inaccuracies relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct errors, update information or cancel orders if any information is inaccurate, at any time and without notice.

13. Prohibited Uses

You must use the Services lawfully. You must not, directly or indirectly, engage in fraud, harassment, infringement, malicious code distribution, spamming, data scraping, impersonation or any activity that interferes with or harms the Services or other users. We may suspend, disable or terminate access for violations.

14. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms. You remain liable for charges incurred before termination. Provisions that by their nature should survive termination do so, including Intellectual Property, Disclaimers, Limitation of Liability and Indemnity.

To the fullest extent permitted by law, Frojus, our group companies and our officers, employees and agents will not be liable for indirect, incidental, special, consequential or punitive losses, or any loss of profits, revenue, savings, data, goodwill or business opportunity, arising out of or related to your use of the Services or products, whether in contract, tort or otherwise.

You agree to indemnify and hold harmless Frojus, Shopify and their affiliates, officers, employees and agents from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of law or third-party rights, or your misuse of the Services.

18. Severability

If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in full force.

19. Waiver and Entire Agreement

A failure to enforce any right does not waive it. These Terms, together with policies referenced in them, form the entire agreement between you and Frojus regarding the Services and supersede prior understandings.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time.

21. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Services shall be governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction.

22. Headings

Section headings are for convenience only and do not affect interpretation.

23. Changes to these Terms

We may update these Terms by posting a new version on this page. Material changes will be notified in accordance with applicable law. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
